What is the Crea y Crece Law?

The Crea y Crece Law (Law 18/2022), in force since October 19, 2022, represents one of the key reforms of the Recovery, Transformation, and Resilience Plan promoted by the Spanish Government.
This regulation has a dual focus: facilitating the creation of companies and fighting late payment in commercial operations. In addition, it introduces a new legal regime for crowdfunding platforms, as well as important reforms to simplify administrative processes through the CIRCE system (Business Creation Information Center and Network).
Main Objectives of the Crea y Crece Law

The Crea y Crece Law has as its main objectives:
- Boost to business creation: allows the formation of an SRL with a minimum capital of 1€, facilitating access to entrepreneurship.
- Fight against late payment: incentives are imposed for compliance with payment deadlines, promoting the financial stability of SMEs.
- Mandatory digitalization: generalized use of the electronic invoice between entrepreneurs and professionals (B2B transactions).
- Simplification of procedures: incorporation of CIRCE company creation mechanisms, reducing deadlines and promoting telematic processing.
Main novelties introduced by the law

Mandatory electronic invoice
- Mandatory to issue, send, and receive electronic invoices in transactions between professionals and entrepreneurs.
- Improvement in traceability, security, and efficiency in invoicing.
- Also applicable to those companies that invoice above 8 million euros annually in a first phase.
Unique Code in Invoicing
- All invoices must include a unique code consisting of the issuer's NIF, serial number, and issuance date.
- This measure seeks to strengthen the authenticity and truthfulness of commercial operations.
Adaptation Deadlines
- Companies with billing >8 million: 1 year from the approval of the regulatory development.
- Companies with lower billing: 2 years to adapt.
It is estimated that, given the current public consultation status of the regulation, the implementation of electronic invoicing will be complete by late 2025 or early 2026. Companies must act within 20 days of its official publication to avoid penalties.
Penalties
- Non-compliance can result in fines of up to 10,000 € for not meeting the established requirements.

CIRCE: The new hub for creating companies
One of the major advances introduced by the Crea y Crece Law is the adoption of company creation through CIRCE. This center enables the telematic formation of companies, with a simplified process and reduced timelines.
Among the mechanisms included are:
- Telematic platform for registration and enrollment.
- Standard models of social statutes.
- Expansion of the catalog of economic activities exempt from licensing, streamlining processes for entrepreneurs.

What should companies do?
- Review their current invoicing system to ensure compatibility with electronic invoicing.
- Prepare to integrate CIRCE as a method for company creation and management.
- Train administrative and financial staff on the new legal requirements.
- Begin transitioning to compatible ERP systems, such as Dynamics 365 Business Central.
